I agree with Michael.

In California, only architectural firms are allowed to form LLC as they have lobbied the state legislature to get that "privilege".  My tax accountant recommended that I form a Small Corp for general liability and some personal tax advantages.  Up to a certain limit, the income is divided (discuss you’re your tax advisor on proportions) between salary paid and corporate dividends.  The thing is that dividends or distributions aren't subject to self-employment tax.  In CA, this is 15% which can be substantial.

That being said, I would recommend to consult with an attorney and a tax advisor familiar with your personal circumstances and laws in your state before making the determination of the structure.

I thought I found a thing that said engineers could do other forms of incorporation in California, but not LLC's.  But I can't seem to find it again, so I don't know for sure.
